Re: Irrevocable Letter of Offer to Purchase and Appointment of Solicitor

I/We, the abovenamed Purchaser(s), hereby irrevocably offer to purchase the abovesaid Property from you and the Proprietor at the Indicative Purchase Price as stated above. I/We hereby further confirm and acknowledge that the abovesaid Indicative Purchase Price is subject to change at your sole discretion and the final confirmed purchase price for the Property (“the Purchase Price”) shall be notified to me/us when the abovesaid Project is open for sale to the public.

 

I/We hereby pay the initial payment with your panel solicitor, _____________________________________________________________________ the sum of Ringgit Malaysia ……………………………. (RM                      )  only (“the Initial Payment”) to hold as stakeholder for a period of at least three (3) months from the date hereof or such further period as may be extended pending the approval of the Building Plans by the relevant authorities (“the Offer Period”) and I/we hereby irrevocably agreed and authorised _________________________________ to release the Initial Payment to you as part payment of the Purchase Price.

I/We hereby irrevocably authorised your panel of solicitor, Messrs…………………… of ………………. (“the said Solicitors”) to act for me/us as my/our solicitor in respect of the purchase of the abovesaid Property and to attend to the preparation of the Sale and Purchase Agreement and all other agreements and/or documents related thereto the Developer and/or the Proprietor as well as all loan and security documentation from my/our end-financier for the abovesaid Property and the Initial Payment forwarded by the said Solicitors to you shall then be deemed as Part Payment towards the Purchase Price of the abovesaid Property.

I/We further agreed that I/We shall not be entitled to request for any refund of the Initial Payment during the Offer Period and that the Initial Payment shall not be refundable to me/us in whatsoever event save except that my/our application for any facility from any licensed bank or financial institution in Malaysia (“the banks”) to part-finance the purchase of the abovesaid Property has been rejected by three (3) of the banks within twenty one (21) days from your notice for us to execute the Sale and Purchase Agreement subject to me/us providing you with the relevant documentary evidence of such rejection. Failing which, it shall be deemed as my/our consent and authority for the said Solicitor to release the Initial Payment to you.

I/We hereby understands, confirmed and agreed to execute the Sale and Purchase Agreement together with all other documents pertaining to the sale and purchase of the said Property (collectively “the said Agreements”) upon my/our receipt of a written notice from you requesting me/us to do the same (“the Developer’s Notice”) within the time period stated in the Developer’s Notice (if any), failing which I/we shall be deemed to no longer be interested in purchasing the abovesaid Property and you shall be entitled to forfeit the Initial Payment absolutely and deduct the sum of Ringgit Malaysia __________________ (RM___________) only to the said Solicitors as agreed adminstration fees.

 

I/we hereby irrevocably confirm that you shall have the right at its absolute discretion to deal with the abovesaid Property in any way as you may deem fit without any reference to me/us and I/we hereby irrevocably undertake not to make any claim of whatsoever nature against you and/or the Proprietor and/or you for any losses, damages, claims, costs and/or expenses of whatsoever nature incurred by me/us as a result of you disposing of the abovesaid Property to any other party.
