A membership agreement is a contract between your business and users or customers to outline the expectations for both parties. The specifics of the agreement depend on the type of business or service you offer and how you expect users to interact. The membership agreement should cover all the specifics for items such as restrictions, fees, obligations, privacy and liability claim exemptions to protect you as the business owner.

This is an agreement signed between _______ Sdn Bhd (Company No: ______) of registered address _____ and business address at ______________ (hereinafter referred to as “The Company”) and ________ of __________ (hereinafter referred to as ‘the members’)
- Agreement Terms and Policies
- The terms and conditions and important shall be relevant for all members. You shall be bound by this contractual agreement set out below and the company may from time to time amend this Agreement and inform the members accordingly.
- If there are any application forms that accompany the signing of the Agreement, it shall form part of this contract.
- Definition
2.1 ‘The company’ shall be a company will serve an organizer to gather all members to attend regular social and networking meetings for purpose of business development being the primary agenda of the BAA group and discretion to implement rules and regulations to manage the group.
2.2 ‘The Membership’ shall mean a non proprietary membership and shall mean basically a contract signed between the contracting parties stated hereinafter for purpose of providing a service. This shall exclude defaulting members.
2.3 ‘The Group’ shall mean all the members who have signed relevant agreements with the company.
2.4 Confidentiality – means all confidential information relating to the business, organization, transactions, finances, processes, specifications, methods, designs, formulae, technology and business activities, of and concerning ______ and its members.
- Terms
3.1. The member shall pay an annual fee of Ringgit Malaysia ______ (RM ____ ) to the company and in consideration of that, the company shall organize events to gather all members together for purpose of social and business networking.
3.2. The tenure of the membership shall be for a duration of 1 year effective from ______ (hereinafter referred to as ‘the commencement date’) and expires on ______ (hereinafter referred to as ‘the expiry date’) (hereinafter referred to as ‘the tenure’)
3.3 The company may from time to time implement a promotion period whereby members shall need to pay the sum of Ringgit Malaysia _____ (RM ____) to the company to be a member during the above-said tenure whereby clause 3.1 above shall not be applicable.
3.4 The company shall have the absolute discretion to evaluate each member’s application and after signing of the agreement to evaluate and reserve the right to terminate this agreement subject to the terms and conditions hereinafter contained.
3.5 The company shall contract with respective parties and place the member in designated practice groups whereby the relevant practice groups shall be members from different business interest and providing different services or products and are consistently active within the practice group to fulfill his obligation pursuant to this contract.
3.6. The Company shall provide a business plan for all members who engage services of another member or refer customers to another member within the practice group or members in the company.
3.7. The Company reserves the right at all material times to suspend the referral fee entitlement if the company found any serious allegation which in the opinion of the company after relevant enquiries made found that it warrants suspension notwithstanding no real proof to substantiate the allegation.
3.8. The Company reserves the right to use the member’s information provided for purpose of creation of awareness to other members in the company and to promote their business to members or to the public.
3.9. The Company reserves the right to promote and/or appoint any member within the practice group to be the head of the practice groups or management committee.
3.10. The Company shall reserve the right to transfer the member from one practice group to another practice group with or without reason but proper notification is required to be given to the member.
3.11 The fees paid are not transferable.
- Member’s covenant.
4.1 The member hereby undertake to remain active and participate in at least 2/3 of the events or meetings organized by the groups.
4.2 The member requires to submit regular reports of referral of business to another member in the company or within the practice groups on a weekly basis to the company for purpose of monitoring.
4.3. The member shall be required to adhere to all business ethnics and etiquettes and shall act in good faith in all transactions or referrals to the company or with another member within the practice groups.
4.4 The member is required to introduce bona-fide referrals and/or visitors to the company and the company shall have the discretion to consider and approve their application.
4.5 The company may from time to time, required additional contributions from the member to organize any event and the member shall contribute accordingly pursuant to any memo or explanatory sheet to be circulated to members by email or other methods of communication within 30 days from the date of receipt.
- Management committee (hereinafter referred to as ‘MC’)
5.1 the management committee is a board consist of various members who will be empowered with the followings:
- To suspend and/or terminate any member for breach and/or misconduct.
- To hold an enquiry.
- To determine and decide on a dispute on referral.
- To determine termination of members for non attendance.
- To appoint new members to the practice groups.
- To decide on issues of pricing of services and/or goods provided or transacted between members.
- All respective rights to be delegated to the MC by the company from time to time.
5.2 In the event of any disputes, the member shall first submit their complaints to the management committee and if the member is not satisfied with the decision of the management committee, there shall be a final appeal to the company whereby the company’s decision on any potential dispute shall be deemed as final and conclusive.
- Termination
6.1 In the event of termination, the membership shall ceased to be of any effect and shall be no refund on unutilized portion of the annual membership payment made to the company.
- Exclusion
7.1 The Company shall not be liable to any member or a third party for any defects or delay or non delivery services or defects found in any of the services transacted among members and/or with 3rd parties and the member shall at all material times shall indemnify and keep the Company indemnify against any loss and damages that may have resulted of a breach or delay or defects of the member whether direct or consequential.
7.2 The company shall be under no obligation to disclose any financial statement to the member.
- Dissolution:.
8.1 In the event the principal pronounces the dissolution of this organization, it will be deem as sufficient notice to you/the members or by way of written notification to the members whichever deems appropriate by the principal.
- Notice
9.1 Notice shall be deemed to have been served on the member if served by A.R.Registered post or courier to the address stated above.
- Jurisdiction
10.1 The law governing this contract shall be the law of Malaysia.
