This is a non-disclosure agreement between two parties (usually called the disclosing party and the recipient) whereby the recipient of this confidential information (be it trade secret information or another sort of information that the disclosing party intends to protect) shall undertake/agrees to take on this contractual obligation not to disclose any information ‘disclosed/revealed’ to any 3rd party or for his own benefit without getting written consent/permission from the disclosing party. This is a general template that’s applicable to most contractual business arrangements (especially during pre-contractual negotiation stages.
