Confidentiality Agreement
We, (company name) (hereinafter referred to as “The Employer”) of (address) hereby would like to confirm the appointment of (name) (hereinafter referred to as “The Director”) of (address) for the position of a (position) effective from (date)(hereinafter referred to as “term of appointment”).
We shall employ you subject to the following terms and conditions:
You shall agree to covenant and undertake with the Company effective from the term of employment that you will not either directly and/or indirectly, solely and jointly with or as manager agent shareholder consultant of any other person (corporate or unincoporate) anywhere within Australia, Malaysia, United Kingdom, United States of America, Hong Kong, Singapore from the Employer during the period of five (5) years from the date hereof; andCarry on or be engaged or concerned or interested directly or indirectly in the business the nature of which is identical with that of the Company; andDisclose or in any way make use of any confidential information of the Company; and
The parties hereby confirm that the restriction as stated above are no greater than are reasonable or necessary to protect the interest of the Company and further that such covenants shall be deemed to be entire separate and severable and separately enforceable so that each covenant shall be deemed as a separate covenant.
In the event the Employee commits a breach of this Agreement, the Company shall at its option be entitled to specific performance of this Agreement against the Director or in the alternative, to terminate the directorship with immediate effect with or without notice whereupon the Director shall be liable to all losses suffered by the Company.
