Please note that the above cheque(s) are forwarded to you on your solicitor undertaking not to release the said sum to your clients until confirmation of the followings and all the terms required pursuant to the terms in the Sale Shares Agreement have been complied on or before the execution of this agreement namely:-
(a) All the share transfer forms in favour of the Purchasers have been executed and held by you as stakeholder;
(b) The Sales & Purchase Agreements and/or Assignment for all the respective land, lease and access road have been executed and stamped;
(c) Appointment of Directors nominated by the Purchaser and relevant resolution approving the said appointments;
(d) Management Accounts;
(e) any other related documents (if any).
